The use of the Dalil Platform, which provides access to AI-driven Media intelligence and monitoring tools, is governed by these Terms and Conditions (“Terms”). These Terms are binding and non-negotiable. By accessing or using the Platform (whether through our SaaS services or via an on-premises deployment), you agree to these Terms. If you do not agree, you must refrain from using the Platform.

 1. Definitions

“User” means any individual or entity accessing or using the Platform.

“Platform” refers to the Dalil software and associated services, whether accessed via SaaS (cloud-hosted) or installed as an on-premises deployment.

“AI Analysis Tools means the AI-Powered analysis tools, disinformation detection, and different scoring s available within the Platform (e.g., entity recognition, propaganda detection, narrative clustering, sentiment analysis, etc...).

“Content” refers to all data, dashboards, reports, templates, texts, and information generated by or provided through the Platform.

“Customer Data” means any data, documents, media, or materials uploaded or processed by Users within the Platform.

“Media” refers to publicly accessible digital sources lawfully available on the Internet, including but not limited to online news portals, public Telegram channels, and other open online publications or data streams that may be accessed for analytical or informational purposes. For the avoidance of doubt, “Media” does not include any content obtained through unauthorized access, circumvention of technical protections, or in violation of a third party’s platform terms of service or applicable law. The Company collects, indexes, and analyzes Media content solely for research, monitoring, and analytical purposes, without reproducing, redistributing, or commercially exploiting any underlying copyrighted material.

2. Scope of Service

The Platform provides tools for media monitoring, intelligence analysis, early-warning detection, and reporting. The services offered are intended to assist Users in analyzing, understanding, and responding to information environments.

The outputs generated by the Platform, including insights and reports, are for informational purposes only and do not constitute legal, financial, or professional advice. The Platform relies in part on automated language models (LLMs), which may generate inaccurate, incomplete, or outdated information. Users remain solely responsible for how they verify, interpret and use the outputs, and for any decisions made based on them.

While we make efforts to ensure the accuracy and reliability of our services, the Platform does not guarantee completeness, accuracy, or suitability for any particular purpose.

3. User Obligations and Restrictions

Users must engage with the Platform only for lawful and authorized purposes. They must not upload, share, or process any unlawful, harmful, or unauthorized materials. Reverse engineering, disassembly, modification, or the creation of derivative works from the Platform is strictly prohibited. Automated tools, bots, or scraping techniques may not be used to access or extract data from the Platform.

Users are responsible for safeguarding their login credentials and maintaining the security of their accounts. Sharing or misuse of accounts is not permitted and may result in suspension or termination of access.

For On-Premises deployments, the client organization is solely responsible for ensuring the security, confidentiality, and governance of data stored within its own infrastructure.

Users must comply with applicable data protection and intellectual property laws when uploading or processing Customer Data.

4. Intellectual Property Rights and Content Usage

All technology, algorithms, designs, dashboards, and reports produced by the Dalil Platform are the exclusive property of Siren Analytics and Consulting Limited and its licensors. Customer Data remains at all times the property of the client organization.

Platform Content and Outputs, including AI-Powered analysis tools are licensed for use by the client and may not be reproduced, distributed, or commercialized without prior authorization. Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform strictly in accordance with these Terms.

5. Data Ownership and Use

Customer Data remains under the ownership of the client at all times. For SaaS deployments, we process Customer Data solely to deliver the services described in our Privacy Policy and any applicable Data Processing Agreement (DPA).

For On-Premises deployments, Dalil does not access Customer Data, except where limited access is explicitly authorized for the purpose of providing technical support.

In addition, Usage Data may be collected and analyzed to enhance service quality, ensure security, and improve the overall performance of the Platform.

6. Confidentiality

We are committed to maintaining the confidentiality of Customer Data in accordance with applicable data protection laws, including EU General Data Protection Regulation (GDPR) and the Irish Data Protection Act 2018. For SaaS, we implement industry-standard encryption and security measures. For On-Premises, the client assumes responsibility for local security.

Customer Data will not be disclosed to third parties unless:

  1. Explicitly authorized by the User,

  2. Required to deliver contracted services, or

  3. Required by law.

In the event where Customer Data is transferred outside the European Economic Area, such transfers are conducted under adequate safeguard mechanisms as approved by the European Commission.

We also retain Customer Data for as long as necessary to fulfill the purposes for which it was collected or as required by applicable law. Customers have the right to access, correct, delete, and export their data in accordance with GDPR provisions.

7. Account Management and Security

Registration may be required to access certain features of the Platform. Users must provide accurate, current information during registration and keep their account details updated. Accounts are personal, non-transferable, and may not be shared with others.

Users are responsible for safeguarding their login credentials and must promptly notify us of any suspected unauthorized access or security breaches. We are not liable for losses resulting from compromised accounts due to failure to maintain security.

 For enterprise deployments, designated administrators may create and manage sub-accounts for authorized team members, and the organization remains responsible for the proper use of those accounts.

8. Notification of Alleged Copyright Infringement

Notices regarding alleged copyright infringement must be directed to the Platform Officer via the contact details in the “Contact” section.

9. Limitation of Liability

The Platform is continuously monitored and improved to ensure safety, reliability, and performance. However, it is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not guarantee uninterrupted or error-free services, nor that defects will be corrected or that the Platform is free of viruses, malware, or other harmful components. Users are advised to maintain appropriate safeguards to protect their systems and data.

Outputs generated by the Platform, including AI-driven analyses, dashboards, and reports, may contain inaccuracies or omissions. Users remain solely responsible for verifying the applicability of such outputs before relying on them. The Platform shall not be liable for any actions, decisions, or outcomes resulting from reliance on its outputs.

To the maximum extent permitted by law, our total liability for any claims arising from or related to the use of the Platform shall not exceed the amount paid by the User to the services and, in all cases, shall be limited to the fees paid during the twelve (12) months immediately preceding the event giving rise to the claim. If any portion of this section is deemed unenforceable, the remaining provisions shall remain in effect.

10. Indemnification

Users agree to indemnify and hold Siren Analytics and Consulting Limited, its affiliates, employees, and partners harmless from any claims, damages, or liabilities arising from:

  1. Violation of these Terms,

  2. Infringement of third-party rights, or

  3. Uploading unlawful or unauthorized data.

11. Modification

We reserve the right to update these Terms at any time. Continued use of the Platform after modifications constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate user accounts if these Terms are violated, if Platform content or services are misused, or if compliance with legal or regulatory requirements makes it necessary.

In the event the Platform is discontinued, Users will be notified in advance and provided with a reasonable period to retrieve their data.

Users may terminate their accounts at any time by following the steps available within the Platform. Upon termination, access to services and stored data will be revoked, although certain data may be retained as required under our Privacy Policy and applicable data protection laws, including GDPR.

13. Regulatory Compliance

We comply with applicable data protection laws, including EU GDPR, UK GDPR, CPRA (California), and other regional data protection laws, as applicable.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Ireland, where Siren Analytics and Consulting Limited is incorporated. Any disputes shall be resolved exclusively by the courts of Dublin.
